Welcome to Ladder. These Terms and Conditions (the “Terms”) govern access to ladder.marketing, Ladder's subscription-based software services, and any related setup, support or managed services. By creating an account, subscribing, accepting a proposal or using our services, you agree to these Terms. If a signed service agreement or order form conflicts with these Terms, the signed agreement governs for that specific service to the extent of the conflict.
1. About Ladder
Ladder is a Philippines-operated software-as-a-service (SaaS) and business automation provider based in Tandag City, Surigao del Sur, Philippines. We offer subscription software and optional professional services to businesses, including clients outside the Philippines. Our website is https://ladder.marketing.
2. Our SaaS Platform and Services
Depending on your subscription, Ladder may provide access to customer relationship management, lead and pipeline tracking, contact management, online booking, automated follow-ups, website or landing-page tools, review requests, reporting, AI-assisted communication, messaging and other business software features. Optional onboarding, configuration, migration, design, automation building and managed services may be offered separately.
Features, permitted users, support, usage allowances and service deliverables are those specified in your selected plan, order form or written agreement. Features not included in your plan are not guaranteed.
3. Eligibility and Business Accounts
Subscriptions are intended for individuals aged 18 or older who can enter into binding agreements and for authorized business representatives. You must provide accurate registration, billing and contact information. You are responsible for your authorized users, account activity, protecting passwords and credentials, and promptly notifying Ladder of suspected unauthorized access.
4. License and Access
During an active, paid subscription, Ladder grants you a limited, non-exclusive, non-transferable right to access and use the subscribed software for your internal lawful business purposes, subject to your plan limits. This is a right to use the software, not a sale or transfer of Ladder's software, source code, templates, trademarks or proprietary technology.
5. Acceptable Use
You must not use Ladder to send spam, run fraudulent or deceptive campaigns, upload malicious code, violate privacy or intellectual-property rights, access other accounts without permission, bypass usage restrictions, resell access without authorization, or disrupt service security or availability. You must not use automated communications for unlawful robocalling, unsolicited bulk messaging, harassment or other prohibited purposes. We may investigate, restrict or suspend misuse as described below.
6. Your Content, Contacts and Customer Data
You retain ownership of the customer records, business content and other data you lawfully provide to Ladder (“Client Data”). You grant Ladder and its authorized service providers permission to host, process, transmit and display Client Data as reasonably necessary to provide the subscribed services, maintain security and fulfill lawful instructions.
You are responsible for having appropriate notices, lawful grounds and consent where required to collect and use your customers' information. You are also responsible for maintaining accurate contact lists and observing applicable deletion, opt-out and retention requirements. Where Ladder processes personal data solely on your documented instructions, the parties' respective responsibilities may be described further in a data-processing agreement.
7. Email, SMS, Calls and Automated Outreach
If you use Ladder for text messages, email, calls, reminders or automated customer communication, you are responsible for applicable consent, identification, content, opt-out and recordkeeping requirements in each market where you operate. This may include Philippine privacy and communications requirements and applicable laws in the United States or other destination countries. You must promptly honor unsubscribe, STOP, do-not-call and similar requests. Messaging availability and delivery are subject to telecommunications providers, carrier rules, approval requirements and applicable usage charges.
8. Artificial Intelligence Features
Some plans may include AI-generated messages, summaries, responses or voice features. Outputs can be incomplete or inaccurate and should be reviewed for suitability, legality and accuracy before use in sensitive or high-impact contexts. Do not use AI outputs as a substitute for professional legal, medical or financial advice. You remain responsible for communications and decisions made using your account and for providing any disclosures or obtaining any consents required for recording, transcription or AI-assisted interactions.
9. Plans, Fees, Billing and Taxes
Plan prices, setup fees, billing intervals, currency, included allowances and taxes are shown at checkout or in your accepted proposal or order form. Subscription fees are billed in advance on the agreed cycle unless your agreement says otherwise. Usage-based fees (such as phone, text, email, AI, additional users or other metered services) may be charged separately if disclosed in your plan or agreement. You authorize the agreed payment method to be charged for applicable recurring and usage fees. You are responsible for taxes that apply to your purchase, except taxes on Ladder's net income.
If a payment fails or is overdue, we may notify you and restrict access or suspend affected services after any applicable notice period. Pricing changes for existing recurring subscriptions will be communicated in advance as required by your agreement or applicable law.
10. Renewals, Cancellation and Refunds
Unless otherwise stated in your subscription agreement, subscriptions automatically renew for successive billing periods until canceled. To request cancellation, email [email protected] before your next renewal, or use an available cancellation control in your account. Cancellation generally takes effect at the end of the already-paid billing period. Charges incurred before the effective cancellation date remain payable.
Except where a refund is required by applicable law or expressly promised in a written agreement, paid subscription periods, setup charges and consumed usage are non-refundable, and no partial-period refund or credit is provided. Any separate service contract may state different cancellation terms.
11. Account Closure and Data Export
Before your subscription ends, you should export important information using available product features or request assistance. Following termination, access to the software and stored Client Data may be restricted, deleted or retained for a limited period according to our retention practices, the applicable agreement, valid legal obligations and the Privacy Policy. Data export may be subject to technical limitations, verification and any fees disclosed in advance. We do not promise indefinite post-termination storage.
12. Intellectual Property
Ladder and its licensors retain rights in the software, user interface, service architecture, underlying workflows, reusable templates, documentation, trademarks and other pre-existing materials. Your business content and Client Data remain yours or your licensors'. Ownership of custom websites, assets and other separately purchased professional-service deliverables is governed by the written agreement for that work. Feedback you voluntarily provide may be used to improve the services without revealing your confidential data.
13. Confidentiality and Security
Each party agrees to protect non-public business information received from the other using reasonable safeguards and to use it only as needed to fulfill the business relationship, unless otherwise agreed or required by law. We use reasonable organizational and technical measures intended to protect information, but no online system can be guaranteed completely secure. You are responsible for appropriate access controls and device security within your own organization.
14. Service Availability and Changes
We work to provide reliable service, but planned maintenance, security work, outages, telecommunications disruptions, third-party failures and events beyond our control may affect availability. Unless a signed service-level agreement expressly states otherwise, Ladder does not guarantee uninterrupted or error-free service. We may improve, replace or discontinue features, subject to advance notice for material changes where required by your agreement or applicable law.
15. Third-Party Services
Ladder may connect to payment providers, registrars, cloud hosting, communication networks, analytics, AI services and other independent providers. Third-party services may require separate accounts, consents or fees and are subject to their own terms. Ladder is not responsible for independent providers' outages, service rules or policy changes except to the extent required by law or expressly agreed in writing.
16. No Guaranteed Business Results
Ladder provides software and services designed to support business processes, not a guarantee of revenue, leads, sales, bookings, rankings, customer reviews or other commercial outcomes. Results depend on how the services are configured and used, your marketing activities, your customers and market conditions.
17. Disclaimers and Limitation of Liability
To the maximum extent permitted by applicable law, Ladder's services are provided on an “as available” basis without guarantees beyond those expressly included in a signed agreement. Ladder is not liable for indirect, incidental, special, consequential or punitive damages, including lost profits or lost opportunities, to the extent such exclusions are lawful.
To the maximum extent permitted by law, Ladder's aggregate liability arising from a subscription or service relationship will not exceed the fees you paid to Ladder for the affected service during the three months immediately before the event giving rise to the claim. This provision does not exclude liability or rights that cannot legally be excluded or limited.
18. Indemnification
To the extent permitted by applicable law, you agree to indemnify Ladder against third-party claims, damages and reasonable costs resulting from unlawful Client Data, your misuse of the services, infringement by materials you provide, or your violation of applicable communication and privacy requirements, except to the extent caused by Ladder's own unlawful actions.
19. Suspension and Termination
We may restrict or suspend access when reasonably necessary to respond to non-payment, account compromise, security threats, unlawful activities or material violations of these Terms. We will provide notice and an opportunity to resolve the issue when reasonably practicable and legally required. Either party may terminate as provided in the relevant subscription or service agreement. Provisions intended to continue, including payment obligations, intellectual property, confidentiality, limitations of liability and dispute resolution, survive termination to the extent applicable.
20. Changes to These Terms
We may revise these website Terms and will post the updated version with a new effective date. For material changes affecting an active paid subscription, we will give notice as required by applicable law or your agreement. Nothing in an updated webpage automatically overrides a separately signed agreement where your consent is required.
21. Governing Law and Disputes
Ladder operates from the Philippines. Unless a separate written agreement specifies a different lawful arrangement, these Terms are governed by the laws of the Republic of the Philippines. Subject to mandatory laws and non-waivable rights, disputes under these Terms shall be brought before the competent courts having jurisdiction in Surigao del Sur, Philippines. Any applicable statutory privacy or consumer remedies remain available.
